1. Acceptance of Terms
By accessing or using the Negotia platform (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.
2. The Service
Negotia is a negotiation platform for high-value transactions that facilitates discovery, negotiation, document exchange, and payment coordination between buyers and sellers. Negotia is not a party to any underlying transaction; it is a neutral intermediary providing tools.
3. Eligibility & Accounts
You must be at least 18 years old and legally capable of entering into binding contracts. You are responsible for safeguarding your account credentials and for all activity under your account.
4. Identity Verification (KYC)
For certain features (including but not limited to executing a purchase or initiating payment), Negotia requires identity verification. By submitting verification documents you consent to their processing in accordance with the Privacy Policy.
5. Fees
Negotia may charge service fees for premium features or completed transactions. Applicable fees will be disclosed before you incur them.
6. Prohibited Conduct
- Misrepresenting your identity or the assets you list.
- Uploading unlawful, infringing, or fraudulent content.
- Bypassing the platform to circumvent fees.
- Attempting to compromise security or scrape data.
7. Intellectual Property
The Service, including software, design, and trademarks, is owned by Negotia. You retain ownership of content you upload but grant Negotia a non-exclusive licence to host, display, and process it for the purpose of operating the Service.
8. Disclaimers
The Service is provided “as is”. Negotia disclaims all warranties to the maximum extent permitted by law. Negotia is not a broker, lawyer, or escrow agent.
9. Limitation of Liability
To the fullest extent permitted by law, Negotia’s aggregate liability under these Terms shall not exceed the fees paid by you in the 12 months preceding the claim.
10. Termination
Negotia may suspend or terminate your account for breach of these Terms. You may close your account at any time via Settings.
11. Changes to Terms
Negotia may update these Terms from time to time. Material changes will be notified via email at least 30 days in advance.
12. Governing Law
Unless mandated otherwise by local consumer-protection law, these Terms are governed by the laws of the Republic of Mozambique, and any dispute arising out of them is subject to the jurisdiction of the courts of Maputo. This clause is provisional and will be reviewed by counsel before general availability.
